1. Overview of the Services

1.1 Purpose: InGeniousPost provides AI-powered tools that help users generate social media content (initially for LinkedIn), and analyze engagement or performance.

1.2 Beta Use: We are currently offering a beta version with free access, including up to 200,000 tokens/month per user. This may be adjusted or replaced in future paid tiers.

1.3 User Input: Users may input:

• URLs (which may be scraped and summarized)
• Text prompts
• Uploaded content such as PDFs, images, and videos

1.4 Content Output: Users receive AI-generated content which they may:

• Copy and paste to any platform
• Post directly to LinkedIn (via native integration or copy)

2. Account Registration & Access

2.1 Eligibility: You must be at least 18 years old to use the Services.

2.2 Account Creation: You must register using:

• A valid email address, or
• LinkedIn authentication (OAuth)

2.3 Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

2.4 Termination: We reserve the right to suspend or delete any account that violates these Terms or applicable law.

3. Payment and Subscriptions

3.1 Current Pricing: The beta version is free. In the future, paid plans will be offered.

3.2 Billing via Stripe: Payments will be processed via Stripe. We do not store your credit card information. Stripe Privacy Policy

3.3 Subscription Terms:

• Users can upgrade/downgrade/cancel at any time.
• Changes apply at the end of the current billing cycle.
• Subscriptions auto-renew unless canceled.

3.4 Refund Policy: We do not provide refunds for unused time during a billing cycle.

3.5 Trial Period: We may offer free trials. At the end of a trial, your plan may convert to a paid plan unless canceled.

4. Use of the Platform

4.1 License: We grant you a limited, non-exclusive, non-transferable license to use the Services for personal or business use, in accordance with these Terms.

4.2 User Content:

• You retain ownership of all content you submit.
• You grant us the right to use content to provide the Services (e.g., for AI processing and analytics).
• You are responsible for ensuring your inputs do not violate any laws or third-party rights.

4.3 Generated Content:

• You may use AI-generated content freely for business or personal use.
• Generated content is not guaranteed to be accurate, appropriate, or compliant with any laws or platform terms (e.g., LinkedIn policies).

4.4 Prohibited Use: You may not use the Services:

• To violate any law or regulation
• To infringe on intellectual property rights
• To harass, defraud, or abuse others
• To create misinformation or harmful content

5. Intellectual Property

5.1 Platform Ownership: All rights in the platform, trademarks, designs, algorithms, software, and brand materials belong to VResearchLab LLC.

5.2 AI Models: We use third-party AI (e.g., OpenAI) under license. You may not reverse-engineer, scrape, or misuse the system.

6. Privacy

7. Disclaimer of Warranties

The Services are provided "as is" and "as available." We disclaim all warranties, express or implied, including:

• Uptime or availability of the platform
• Fitness for a particular purpose

Use of AI carries inherent uncertainty. You are responsible for reviewing and validating output before using or publishing.

8. Limitation of Liability

To the fullest extent permitted by law, we are not liable for:

• Indirect, incidental, or consequential damages
• Loss of revenue or profits
• Data loss or content issues from AI output
• Misuse or reliance on any AI-generated content

Maximum liability is limited to the amount paid by you in the past 12 months (if any).

9. Indemnification

You agree to indemnify and hold harmless VResearchLab LLC, its affiliates, and employees from any claims arising from:

• Your use of the Services
• Your inputs and published content
• Violation of any law or these Terms

10. Modifications & Termination

10.1 We may update these Terms at any time. You will be notified of material changes, and continued use of the Services implies agreement.

10.2 We may modify or discontinue features, pricing, or access levels without prior notice.

11. Dispute Resolution

11.1 Jurisdiction: These Terms are governed by the laws of the State of Florida, United States.

11.2 Arbitration: You agree that any dispute will be resolved through binding arbitration in Florida, rather than in court, unless otherwise required by law.

12. Miscellaneous

• These Terms constitute the entire agreement between you and us.
• If any part is found invalid, the rest remains in effect.
• You may not assign your rights under these Terms without our consent.
